1. Introduction

Welcome to QS Assistant Ltd ("QS Assistant", "we", "us" or "our").

These Terms of Use ("Terms") form a legally binding agreement between you and QS Assistant Ltd governing your access to and use of our website, learning platform, educational services and all related products and services.

By accessing, browsing, creating an account, purchasing a subscription or otherwise using the Platform, you confirm that you have read, understood and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

These Terms apply to every visitor, registered user, subscriber, learner, employer and organisation using the Platform, regardless of location.

They should be read together with our:

Refund & Cancellation Policy;

Acceptable Use Policy;

Copyright & Intellectual Property Policy; and

any other policies published by QS Assistant from time to time.

Where those documents form part of these Terms, they are incorporated by reference and should be read together.

QS Assistant operates an independent online learning platform providing professional education and continuing professional development (CPD) for the construction industry.

Our learning resources are designed to support learners at every stage of their career, from students and apprentices entering the profession through to experienced practitioners seeking to maintain and expand their knowledge.

Although QS Assistant has a particular focus on quantity surveying, our educational content is intended to benefit a broad range of construction professionals, including commercial managers, project managers, estimators, engineers, building surveyors, construction managers and other individuals involved in the planning, procurement, delivery and commercial management of construction projects.

Unless expressly stated otherwise, QS Assistant is an independent educational provider and is not affiliated with, endorsed by, accredited by or acting on behalf of any university, professional institution, government department or regulatory authority.

References to legislation, industry standards, professional competency frameworks, guidance documents or recognised institutions are provided solely for educational purposes and do not imply endorsement or approval.


3. Purpose of the Platform

QS Assistant exists to provide accessible, practical and professionally focused learning for construction professionals worldwide.

The Platform is designed to support continuing professional development by providing structured educational resources that assist users in developing technical knowledge, commercial understanding and practical competence.

Depending upon your subscription or purchase, the Platform may provide access to:

online learning modules; narrated presentations; instructional videos;

professional guidance;

interactive assessments;

quizzes;

knowledge checks;

CPD certificates;

educational articles;

graphics and illustrations;

downloadable completion certificates;

future educational features introduced by QS Assistant.

We may introduce additional services, technologies and learning formats from time to time, including webinars, live events, mobile applications, artificial intelligence learning tools, mentoring services, downloadable resources or corporate learning solutions.

These Terms apply to all current and future services unless expressly stated otherwise.


4. Definitions

In these Terms, unless the context requires otherwise:

Account means the personal user account created to access the Platform.

Applicable Law means all laws, regulations, statutory instruments, regulatory requirements and codes of practice applicable to the Platform or your use of it.

Assessment means any examination, quiz, competency assessment, knowledge check, test or other evaluation made available through the Platform.

Business Customer means any employer, company, partnership, public authority, educational institution or other organisation purchasing access to the Platform for one or more users.

Certificate means any downloadable CPD certificate or certificate of completion issued by QS Assistant.

Content means all material available through the Platform, including text, graphics, videos, narration, presentations, illustrations, assessments, software, branding, logos, diagrams, educational materials, documentation and other information.

Digital Content has the meaning given by the Consumer Rights Act 2015 and includes all educational material supplied electronically through the Platform.

Fees means all charges payable for subscriptions or other services.

Intellectual Property Rights means all present and future copyright, database rights, trade marks, trade names, business names, domain names, design rights, patents, confidential information, know-how and all other intellectual property rights recognised anywhere in the world.

Platform means the QS Assistant website, learning platform, associated applications and all related online services.

Services means all educational products and services provided by QS Assistant.

Subscription means any recurring paid licence granting access to the Platform.

User, "you" or "your" means any individual or organisation accessing or using the Platform.


5. Interpretation

Unless the context requires otherwise:

words importing the singular include the plural and vice versa;

references to one gender include every gender;

references to legislation include any amendment, extension, replacement or re-enactment of that legislation;

the words "including", "includes" and "such as" mean "including without limitation";

headings are included for convenience only and do not affect interpretation;

references to writing include electronic communications.

If any conflict arises between these Terms and any additional terms applicable to a specific product or service, the additional terms shall prevail only to the extent of that conflict.


6. Acceptance of these Terms

These Terms become legally binding when you first:

access the Platform;

create an Account;

purchase a Subscription;

purchase any digital content;

complete an Assessment;

download a Certificate; or

otherwise use any part of the Platform.

If you use the Platform on behalf of another person or organisation, you confirm that you have the authority to accept these Terms on their behalf.

If you do not have such authority, you must not use the Platform on behalf of that person or organisation.

You acknowledge that electronic acceptance of these Terms has the same legal effect as a handwritten signature.


7. Eligibility

QS Assistant welcomes users from around the world.

There is no minimum age to access the Platform. However, where local law requires parental or guardian consent for a child to access online services or enter into a legally binding agreement, such consent must be obtained before the Platform is used.

If you purchase a Subscription or other paid Services, you confirm that you are legally capable of entering into a binding contract in your jurisdiction or that you have obtained the necessary permission from a parent, guardian or other person legally authorised to act on your behalf.

Business Customers purchasing access for employees, contractors or other authorised users confirm that they have the authority to enter into these Terms on behalf of their organisation.


8. User Accounts

Certain features of the Platform require you to create and maintain a personal Account.

When creating an Account, you agree to:

provide accurate, complete and up-to-date information;

provide a valid email address that you regularly access;

maintain the accuracy of your account information;

keep your login credentials secure and confidential;

notify QS Assistant promptly if you become aware of any unauthorised access or security breach affecting your Account; and

take reasonable steps to prevent unauthorised use of your Account.

You are responsible for all activities undertaken through your Account unless such activity results directly from our negligence or a security breach within our systems.

We reserve the right to require reasonable verification of your identity where necessary to:

protect your Account;

investigate suspected fraud;

prevent unauthorised access;

comply with legal obligations; or

protect the integrity of the Platform.

You may only maintain one personal Account unless we have expressly authorised otherwise in writing.

Business or organisational access is governed by separate licensing arrangements.


9. Account Security

The security of your Account is important to both you and QS Assistant.

You must not:

disclose your password to another person;

permit another individual to use your Account;

create an Account using another person's identity;

impersonate another individual or organisation;

transfer ownership of your Account;

sell or licence your Account;

purchase Accounts from third parties;

create multiple Accounts to circumvent Platform restrictions or payment obligations.

If we reasonably believe your Account has been compromised or used fraudulently, we may:

temporarily suspend access;

require you to reset your password;

terminate active sessions;

request additional identity verification;

suspend or terminate the Account where necessary to protect the Platform or other users.


10. Subscriptions

QS Assistant currently offers annual subscription plans that provide access to designated educational content and Platform features.

Your Subscription grants you a limited, personal, non-exclusive, non-transferable and revocable licence to access the Services during the applicable subscription period.

Subscriptions are intended for individual use unless otherwise agreed in writing.

The Subscription does not transfer ownership of any Content or Intellectual Property Rights.

We may introduce additional subscription tiers, corporate licences, individual course purchases, bundled services or promotional offers from time to time.

Any additional terms applicable to those products will be provided before purchase.


11. Subscription Renewals

Unless cancelled before the renewal date, your Subscription will automatically renew for successive subscription periods.

By purchasing a Subscription, you authorise QS Assistant and our payment provider to automatically collect the applicable renewal fee using your selected payment method.

We will endeavour to provide reasonable notice before renewal where required by applicable law or where reasonably practicable.

You remain responsible for ensuring your payment details remain current.

Failure to maintain valid payment information may result in:

unsuccessful renewals;

suspension of access;

cancellation of your Subscription; or

loss of access to subscriber-only features.

We reserve the right to change Subscription pricing.

Any changes will not affect your current subscription period and will apply only to future renewals.

Where required by law, we will notify affected subscribers before any revised pricing takes effect.


12. Payments

All payments are processed securely by Stripe.

QS Assistant does not receive or store your complete payment card details.

By purchasing any paid Service, you authorise Stripe to charge your selected payment method for:

Subscription fees;

applicable taxes;

renewal payments;

additional Services you choose to purchase; and

any other charges expressly agreed by you.

If payment cannot be successfully processed, we may:

suspend your Subscription;

restrict access to paid Services;

cancel renewal;

recover outstanding sums where legally permitted.

Prices displayed on the Platform are stated in the applicable currency and include or exclude taxes as indicated during checkout.

Any currency conversion charges imposed by your payment provider remain your responsibility.


13. Free Trials and Promotional Offers

QS Assistant may, at its discretion, offer:

free trials;

promotional pricing;

introductory discounts;

promotional access;

limited-time offers; or

complimentary educational content.

Unless expressly stated otherwise:

promotions cannot be combined;

promotions cannot be exchanged for cash;

promotions have no monetary value;

expired promotions cannot be reinstated;

promotional pricing applies only for the advertised period.

We reserve the right to withdraw or amend promotional offers at any time where reasonably necessary.


14. Business and Enterprise Licences

From time to time, QS Assistant may offer access for employers, educational institutions, public authorities or other organisations.

Such arrangements are governed by separate written agreements.

Unless expressly agreed otherwise:

individual subscriptions may not be shared between employees;

organisational access may only be used by authorised users;

licence limits must not be exceeded;

organisations remain responsible for the actions of authorised users accessing the Platform under their licence.

QS Assistant reserves the right to audit organisational usage where reasonably necessary to verify compliance with licence terms.


15. Consumer Rights

Nothing in these Terms excludes, restricts or limits any statutory rights available to consumers under applicable law.

Where you are purchasing as a consumer, your rights under the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, and any other mandatory consumer protection legislation remain unaffected.

If any provision of these Terms conflicts with your mandatory legal rights, your statutory rights shall prevail.


16. Digital Content

The Platform supplies digital educational content.

Following successful purchase, access to Digital Content may be made available immediately.

Where required by law, before immediate access is granted you may be asked to:

expressly request immediate performance of the contract; and

acknowledge that doing so may affect your statutory cancellation rights in relation to Digital Content.

Nothing in these Terms removes any cancellation or refund rights that cannot lawfully be excluded.


17. Cancellation by You

You may cancel your Subscription at any time through your account settings or by contacting QS Assistant using the contact details provided on the Platform.

Cancellation prevents future automatic renewals.

Unless otherwise required by law or stated in our Refund & Cancellation Policy:

cancellation does not entitle you to a refund for any unused portion of your current Subscription period;

your access will normally continue until the end of the paid subscription period; and

no further renewal payments will be taken after cancellation has taken effect.


18. Cancellation by QS Assistant

QS Assistant reserves the right to suspend or terminate paid access where:

payment cannot be collected;

fraudulent activity is suspected;

these Terms have been materially breached;

continued access would expose QS Assistant or other users to unreasonable risk; or

we are required to do so by law.

Where reasonably practicable, we will provide notice before termination.

Immediate termination may occur where necessary to protect:

Platform security;

Intellectual Property Rights;

other users;

compliance with applicable law.

Termination under this clause does not affect any accrued rights or obligations of either party.


19. Licence to Use the Platform

Subject to your continued compliance with these Terms and payment of any applicable Fees, QS Assistant grants you a limited, personal, revocable, non-exclusive, non-transferable licence to access and use the Platform solely for your own personal education, professional development and continuing professional development (CPD).

This licence permits you to:

access educational content made available through your Subscription or purchase;

complete Assessments;

download your own CPD Certificates where available;

use the Platform for your own learning and professional development.

This licence does not transfer ownership of the Platform, any Content or any Intellectual Property Rights.

Except where expressly permitted by these Terms or required by law, you may not use the Platform or any Content for any commercial purpose without our prior written consent.

Your licence automatically terminates if your Subscription expires, your Account is terminated or you materially breach these Terms.


20. Intellectual Property Rights

All Intellectual Property Rights in the Platform and its Content belong to QS Assistant Ltd or our licensors.

This includes, without limitation:

learning modules;

course structures;

educational methodologies;

competency mapping;

presentations;

videos;

narration;

assessments;

quizzes;

examination questions;

answer banks;

illustrations;

graphics;

diagrams;

animations;

written materials;

learning pathways;

CPD Certificates;

logos;

branding;

trade names;

website design;

software;

databases;

source code;

user interface design;

documentation;

downloadable materials; and

all future educational materials developed by QS Assistant.

All rights not expressly granted under these Terms are reserved.

Nothing in these Terms grants you ownership of any Intellectual Property Rights.


21. Trade Marks

"QS Assistant", the QS Assistant logo, branding, course names, programme names and any associated branding elements are the property of QS Assistant Ltd unless otherwise stated.

You may not use, reproduce, register or otherwise exploit any QS Assistant trade mark, logo, domain name or branding without our prior written permission.

Nothing in these Terms grants any licence to use our branding except as necessary to identify QS Assistant as the provider of the Services.


21A. Third-Party Trade Marks and Intellectual Property

The Platform may refer to or display the names, trademarks, logos, service marks, publications, standards, competency frameworks or other intellectual property of third parties for legitimate educational, descriptive or informational purposes.

Such references may include, without limitation:

the Royal Institution of Chartered Surveyors (RICS);

the Chartered Institute of Building (CIOB);

the Institution of Civil Engineers (ICE);

the Chartered Institute of Building Services Engineers (CIBSE);

the Association for Project Management (APM);

NEC Contracts;

JCT Contracts;

FIDIC;

government departments;

regulatory bodies;

software providers; and

other organisations or products referred to within our educational materials.

Unless expressly stated otherwise:

all third-party names, logos, trade marks, service marks, copyrights and other intellectual property remain the property of their respective owners;

QS Assistant Ltd does not claim ownership of any third-party intellectual property;

references to third-party organisations, standards, contracts, legislation or guidance are provided solely for educational, descriptive or informational purposes;

such references do not imply any endorsement, sponsorship, accreditation, approval, affiliation or partnership between QS Assistant Ltd and the relevant organisation unless expressly stated in writing.

Nothing in these Terms grants you any right or licence to use the intellectual property of QS Assistant Ltd or any third party except as expressly permitted by applicable law.


22. Permitted Use

You may use the Platform solely for your own lawful educational and professional development purposes.

You may:

study learning materials;

complete Assessments;

view educational videos;

listen to narrated content;

download your own CPD Certificates;

print Certificates for your own records;

refer to concepts learned through the Platform in your professional work.

You may not reproduce substantial parts of the Content or present QS Assistant materials as your own work.


23. Prohibited Uses

Unless we have expressly authorised you in writing, you must not:

reproduce any learning module;

copy educational content;

duplicate course structures;

republish Content;

commercially exploit Content;

sell Platform materials;

licence Platform materials;

distribute Content;

modify Content;

translate Content for commercial use;

adapt Content into another training programme;

upload Content to another website;

reproduce Assessments;

publish assessment questions;

distribute answer keys;

create derivative educational products based upon our Content;

reproduce substantial portions of our learning pathways;

remove copyright notices;

remove branding;

falsely claim ownership of Platform Content.


24. Artificial Intelligence and Automated Systems

QS Assistant invests substantial time and expertise in developing original educational materials.

To protect those materials, you must not use the Platform or its Content to:

train artificial intelligence systems;

train machine learning models;

train large language models;

develop generative AI tools;

create synthetic educational datasets;

improve commercial AI products;

generate competing educational content through automated extraction.

You must not submit substantial portions of our educational materials to any artificial intelligence service where doing so would reproduce, analyse or commercially exploit our Content.

Nothing in this clause prevents reasonable personal use of AI tools to assist your own learning, provided you do not upload substantial parts of QS Assistant's proprietary educational materials or otherwise infringe our Intellectual Property Rights.


25. Web Scraping and Automated Access

You must not use any automated method to access or extract information from the Platform.

This includes:

web scraping;

crawling;

spidering;

automated downloading;

robotic process automation;

browser automation;

automated account creation;

automated testing without authorisation;

data mining;

harvesting datasets;

mirroring the Platform;

bypassing technical protection measures.

You must not attempt to access any part of the Platform except through the interfaces intentionally provided by QS Assistant.


26. Recording and Redistribution

Unless expressly authorised in writing, you must not:

screen record learning modules;

record narrated presentations;

record educational videos;

livestream Platform Content;

upload Content to video sharing platforms;

distribute recordings;

share substantial screenshots;

reproduce presentations;

reproduce graphics;

reproduce diagrams;

distribute downloadable materials to third parties.

Reasonable screenshots taken solely for your own personal revision are permitted provided they are not redistributed, published or used commercially.


27. Educational Content and AI-Assisted Production

QS Assistant uses carefully selected digital production tools to enhance the accessibility, presentation and delivery of educational materials.

This may include technologies such as:

Gamma, to assist with presentation layouts, graphics and visual assets;

ElevenLabs, to assist with high-quality audio narration; and

other production tools introduced from time to time.

These technologies are used solely to support the presentation of educational materials.

Unless expressly stated otherwise, all:

educational content;

technical explanations;

professional commentary;

learning outcomes;

competency mapping;

assessments;

instructional materials;

practical guidance;

examples;

course structures; and

professional opinions

are independently researched, authored, reviewed and approved by QS Assistant Ltd.

The use of third-party production tools does not imply endorsement, sponsorship or approval by those providers and does not alter QS Assistant's ownership of, or responsibility for, the educational content.


28. Copyright Infringement

QS Assistant respects the Intellectual Property Rights of others and expects users to do the same.

If you believe that any material made available through the Platform infringes your copyright or other Intellectual Property Rights, please contact us at [email protected] with sufficient information to identify:

the material in question;

the rights you believe have been infringed;

evidence of your ownership or authority; and

your contact details.

We will investigate all genuine notifications promptly and, where appropriate, remove or restrict access to the material while the matter is investigated.


29. User Feedback and Suggestions

We welcome feedback that helps us improve the Platform.

Where you voluntarily submit:

suggestions;

ideas;

recommendations;

feature requests;

comments;

testimonials; or

other feedback,

you grant QS Assistant Ltd a perpetual, worldwide, irrevocable, royalty-free licence to use, reproduce, modify and incorporate that feedback into our Services without payment or acknowledgement.

Nothing in this clause transfers ownership of your personal information, and any processing of personal data will remain subject to our Privacy Policy.


30. Acceptable Use

You agree to use the Platform lawfully, responsibly and in accordance with these Terms.

You must not use the Platform in any manner that:

breaches any applicable law or regulation;

infringes the rights of another person;

disrupts the operation of the Platform;

interferes with another user's experience;

compromises Platform security;

damages the reputation of QS Assistant;

attempts to gain an unfair advantage over other users.

You are responsible for ensuring that your use of the Platform complies with all applicable laws in your jurisdiction.


31. Prohibited Conduct

Without limiting Clause 30, you must not:

impersonate another person or organisation;

create false identities;

provide misleading registration information;

use another person's Account;

allow another person to use your Account;

purchase or sell Accounts;

attempt to circumvent subscription restrictions;

interfere with Platform security;

upload malicious software;

introduce viruses, worms or ransomware;

perform denial of service attacks;

probe or test the security of the Platform without our written consent;

interfere with servers, networks or databases connected to the Platform;

attempt to gain unauthorised access to restricted areas;

use the Platform to distribute spam or unsolicited communications;

use the Platform for unlawful, fraudulent or deceptive purposes;

upload or transmit material that is defamatory, abusive, threatening, obscene or otherwise unlawful;

encourage others to breach these Terms.


32. Assessment Integrity

Assessments are intended to measure your understanding of the educational material provided by QS Assistant.

To maintain the integrity of the Platform, you agree that you will:

complete Assessments honestly;

submit only your own answers;

comply with any assessment instructions;

refrain from attempting to manipulate assessment results.

You must not:

impersonate another learner;

complete Assessments on behalf of another person;

ask another person to complete an Assessment for you;

use software or automated tools to manipulate results;

exploit technical vulnerabilities;

reproduce or distribute assessment questions;

publish answer keys;

share assessment answers for the purpose of obtaining an unfair advantage.

QS Assistant may investigate suspected breaches of assessment integrity and take appropriate action where misconduct is identified.


33. Certificate Integrity

Where applicable, QS Assistant may issue downloadable CPD Certificates upon successful completion of specified learning activities.

A Certificate confirms only that:

the applicable QS Assistant learning activity has been completed;

the completion requirements in force at the time of issue have been satisfied.

A Certificate does not:

constitute a professional qualification;

confer chartered status;

grant membership of any professional body;

guarantee acceptance by an employer;

guarantee acceptance for CPD by any professional institution;

demonstrate professional competence;

replace formal qualifications or workplace experience.

It is your responsibility to ensure that any CPD activity meets the requirements of your employer, regulator or professional institution.


34. Certificate Misuse

You must not:

alter a Certificate;

remove branding from a Certificate;

modify completion dates;

falsify completion records;

create counterfeit Certificates;

sell Certificates;

transfer Certificates to another person;

claim another user's Certificate as your own.

Where we reasonably believe that a Certificate has been obtained or used dishonestly, QS Assistant may:

revoke the Certificate;

invalidate assessment results;

suspend the associated Account;

terminate access to the Platform;

notify relevant authorities where required by law.

The revocation of a Certificate does not entitle the user to compensation or a refund where the revocation results from their own breach of these Terms.


35. User Responsibilities

You are responsible for ensuring that:

the information you provide is accurate;

your Account details remain up to date;

your login credentials remain secure;

your device and internet connection are suitable for accessing the Platform;

your use of the Platform complies with these Terms.

You are also responsible for maintaining appropriate backups of any personal information or records you choose to download from the Platform, including your own CPD Certificates.


36. Platform Security

Protecting the security of the Platform is important to us.

You must not:

attempt to bypass security measures;

interfere with authentication systems;

interfere with encryption;

intercept communications;

modify Platform software;

reverse engineer any software forming part of the Platform except where such restriction is prohibited by law;

decompile or disassemble software forming part of the Platform;

access data that is not intended for you.

If you become aware of a security vulnerability affecting the Platform, you agree to report it responsibly to QS Assistant by emailing [email protected] and to allow us a reasonable opportunity to investigate and address the issue before publicly disclosing it.


37. Monitoring and Investigation

To protect the Platform, its users and our Intellectual Property Rights, QS Assistant reserves the right, where reasonably necessary and proportionate, to monitor the use of the Platform.

Monitoring may include reviewing:

login activity;

subscription usage;

account sharing indicators;

assessment activity;

suspected fraudulent behaviour;

security events;

compliance with these Terms.

Where we reasonably suspect misuse, we may investigate the matter and take appropriate action, including requesting further information from you.

Any monitoring will be carried out in accordance with our Privacy Policy and applicable data protection law.


38. Enforcement

If you breach these Terms, QS Assistant may take one or more of the following actions, depending on the nature and seriousness of the breach:

issue a warning;

require corrective action;

temporarily suspend access to the Platform;

permanently terminate your Account;

revoke CPD Certificates obtained through misconduct;

remove or restrict access to Content;

recover outstanding Fees;

seek compensation for losses suffered;

pursue legal proceedings where appropriate;

report unlawful conduct to relevant authorities.

We will act reasonably and proportionately when exercising our rights under this clause.

Nothing in this clause limits any other rights or remedies available to QS Assistant under these Terms or applicable law.


39. Reporting Misuse

If you become aware of:

unauthorised access;

suspected account sharing;

copyright infringement;

fraudulent Certificates;

security vulnerabilities;

unlawful activity;

other misuse of the Platform,

please notify us as soon as reasonably practicable by emailing [email protected].

We appreciate responsible reporting and will investigate genuine concerns promptly and fairly.


40. Third-Party Services

QS Assistant relies on a number of trusted third-party service providers to operate, maintain and improve the Platform.

These providers may include, without limitation:

Blabber, for hosting and delivering the online learning platform;

Stripe, for secure payment processing;

Google Analytics, for website analytics and performance monitoring;

Gamma, to assist in the creation of presentation layouts, graphics and visual assets;

ElevenLabs, to assist in the production of audio narration;

cloud hosting providers;

domain name and DNS providers;

email service providers;

security and fraud prevention providers; and

other technology providers that support the operation of the Platform.

Where AI-assisted production tools such as Gamma or ElevenLabs are used, they are used solely to enhance the presentation, accessibility and delivery of educational materials.

All educational content, technical explanations, learning outcomes, assessments, competency mapping, course structures, professional commentary and instructional materials are independently researched, authored, reviewed and approved by QS Assistant Ltd.

The use of third-party production tools does not imply endorsement, sponsorship or affiliation by those providers.

Third-party providers operate under their own contractual terms and privacy policies. Whilst we take reasonable care when selecting providers, we are not responsible for interruptions, failures or losses arising solely from services outside our reasonable control.


41. Platform Availability

We aim to make the Platform available twenty-four (24) hours a day, seven (7) days a week.

However, continuous or uninterrupted availability cannot be guaranteed.

The Platform may occasionally be unavailable due to:

planned maintenance;

emergency maintenance;

software updates;

infrastructure upgrades;

security improvements;

internet outages;

failures of third-party providers;

cyber security incidents;

events beyond our reasonable control.

Temporary interruptions do not constitute a breach of these Terms.


42. Platform Improvements

QS Assistant continually develops and improves the Platform.

Accordingly, we may:

introduce new learning modules;

update existing educational content;

improve assessments;

revise course structures;

improve the user interface;

introduce new technologies;

remove obsolete content;

discontinue features that are no longer supported.

Where reasonably practicable, material changes affecting paying users will be communicated in advance.

Nothing in these Terms guarantees that any particular course, feature or item of Content will remain available indefinitely.


43. Educational Content

We take reasonable care to ensure that educational materials are accurate at the time of publication.

However, construction legislation, case law, industry standards, procurement practice, professional guidance and regulatory requirements change over time.

Accordingly, you acknowledge that:

educational materials may not always reflect the latest legal or professional developments;

examples are provided for illustrative purposes only;

different professional opinions may legitimately exist on certain topics.

You remain responsible for exercising your own professional judgement and verifying information against current legislation, contracts, official guidance and applicable standards before relying upon it in practice.


44. Disclaimer of Professional Advice

The Platform is provided solely for educational and professional development purposes.

Nothing made available through the Platform constitutes:

legal advice;

contractual advice;

financial advice;

investment advice;

tax advice;

health and safety advice;

engineering advice;

architectural advice;

project-specific professional advice; or

any other regulated professional service.

Use of the Platform does not create a professional adviser-client relationship between you and QS Assistant Ltd.

Where professional advice is required, you should obtain advice from a suitably qualified professional.


45. Suspension of Access

QS Assistant may suspend access to all or part of the Platform where reasonably necessary to:

investigate suspected breaches of these Terms;

protect Platform security;

prevent fraud;

maintain the integrity of Assessments;

protect Intellectual Property Rights;

comply with applicable law;

perform essential maintenance.

Where reasonably practicable, we will notify affected users in advance.

Immediate suspension may occur where necessary to protect the Platform or other users.


46. Termination

You may terminate your Account at any time.

Termination of your Account does not automatically cancel an active Subscription.

Subscription cancellation is governed by our Refund & Cancellation Policy.

QS Assistant may terminate your Account immediately where:

you materially breach these Terms;

you repeatedly breach these Terms;

fraudulent activity is identified;

continued access creates an unacceptable security risk;

we are required to do so by law.

Upon termination:

your licence to use the Platform immediately ends;

access to subscriber-only Content may cease;

payment obligations already accrued remain payable;

clauses intended to survive termination shall continue in force.


47. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for:

death or personal injury caused by negligence;

fraud or fraudulent misrepresentation; or

any liability which cannot be excluded under applicable law.

Subject to the above, QS Assistant Ltd shall not be liable for any indirect or consequential loss, including:

loss of profits;

loss of revenue;

loss of business;

loss of contracts;

loss of anticipated savings;

loss of goodwill;

reputational damage;

loss or corruption of data;

business interruption.

Where liability cannot lawfully be excluded, our total aggregate liability arising from any claim relating to the Platform shall not exceed the greater of:

the total amount paid by you to QS Assistant Ltd during the twelve (12) months immediately preceding the event giving rise to the claim; or

one hundred pounds sterling (£100).

Nothing in this clause affects any statutory rights available to consumers.


48. Indemnity

To the fullest extent permitted by law, you agree to indemnify QS Assistant Ltd against losses, liabilities, damages, claims, costs and expenses (including reasonable legal costs) arising directly from:

your breach of these Terms;

your unlawful use of the Platform;

infringement of third-party Intellectual Property Rights by you;

fraudulent activity committed by you.

This clause does not require you to indemnify QS Assistant for losses arising from our own negligence or wilful misconduct.


49. Force Majeure

QS Assistant shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control.

These events include, without limitation:

natural disasters;

severe weather;

fire;

flood;

war;

terrorism;

civil unrest;

industrial disputes;

power failures;

internet outages;

cyber attacks;

failures of third-party providers;

government action;

epidemics or pandemics.

Performance shall be suspended for the duration of the relevant event.


50. Privacy

Your privacy is important to us.

Our collection and use of personal information is governed by our Privacy Policy.

By using the Platform, you acknowledge that your personal information may be processed in accordance with that Policy.


51. Electronic Communications

You agree that QS Assistant may communicate with you electronically in relation to:

your Account;

your Subscription;

payments;

security;

legal notices;

service updates;

changes to these Terms.

Electronic communications satisfy any legal requirement for communications to be made in writing where permitted by applicable law.


52. Entire Agreement

These Terms, together with the documents expressly incorporated by reference, constitute the entire agreement between you and QS Assistant Ltd concerning your use of the Platform.

They supersede all previous discussions, representations and agreements relating to the same subject matter.


53. Severability

If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision shall be severed.

The remaining provisions shall remain in full force and effect.


54. Waiver

Failure by QS Assistant to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Any waiver must be made expressly in writing.


55. Assignment

QS Assistant may assign or transfer its rights and obligations under these Terms in connection with:

a merger;

acquisition;

restructuring;

sale of the business;

transfer of the Platform.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.


56. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by the laws of England and Wales.

Where you are a consumer, nothing in these Terms prevents you from relying on any mandatory consumer protection laws applicable in your country of residence.

Subject to the preceding paragraph, the courts of England and Wales shall have exclusive jurisdiction to determine any dispute arising from these Terms or your use of the Platform.
